  • Online reputation management
  • Business profile setup and management

  • Setup Fee: $490 (one-time)

2.4 Online Service Activation

  • Services may be purchased directly through our website
  • Payment confirmation constitutes acceptance of these terms and service agreement
  • Service delivery begins within specified timeframes per service type
  • Digital onboarding forms will be provided post-purchase to collect necessary business information

2.5 Artificial Intelligence Integration

  • Services may utilize AI tools for content creation, optimization, and automation
  • All AI-generated content is subject to human review and quality control
  • Client retains final approval rights for all published content
  • AI is used to enhance service delivery while maintaining professional standards

2.6 Service Limitations and Performance Expectations

  • Results are not guaranteed and depend on multiple factors beyond our control
  • Performance timelines vary by service type (immediate for ads, 3-6 months for SEO)
  • No guarantees of specific rankings, traffic volumes, or patient acquisition numbers
  • We do not provide medical, legal, or business advice
  • Services are subject to third-party platform policies (Google, Bing, review platforms)
  • Digital marketing performance depends on factors including market competition, seasonality, and client cooperation

3. Healthcare Compliance

3.1 HIPAA Considerations

  • Client acknowledges that Goodcalls Inc does not typically handle Protected Health Information (PHI)
  • When PHI handling is required, a separate Business Associate Agreement will be executed
  • Client remains responsible for HIPAA compliance in their practice
  • Any patient information shared must be properly anonymized

3.2 Medical Advertising Standards

  • All marketing materials will comply with applicable healthcare advertising regulations
  • Client is responsible for ensuring content accuracy and professional standards
  • Client must review and approve all patient-facing content
  • Claims about medical outcomes or procedures must be substantiated
  • We reserve the right to refuse creation of content that violates medical advertising standards

4. Payment Terms

4.1 Fees and Billing

  • Setup fees are due upon contract execution and service purchase
  • Monthly fees are billed in advance on the same date each month
  • All fees are non-refundable unless specifically stated
  • Transfer fees apply when transferring service ownership, accounts, or assets to client
  • Annual price increases of up to 10% may be implemented with 30 days notice

4.2 Late Payment and Service Suspension

  • Late fees of 1.5% per month may be applied to overdue amounts
  • Services may be suspended for accounts 30+ days past due
  • Suspended services may result in loss of search rankings and online visibility
  • Reactivation may require additional setup fees

4.3 Third-Party Advertising Costs

  • Paid advertising services do not include ad spend costs
  • Client is responsible for advertising budget and will be billed directly by platforms
  • Minimum recommended ad spend varies by market and specialty
  • We provide budget recommendations but final decisions rest with client

5. Intellectual Property

5.1 Client Content

  • Client retains ownership of provided content, images, and trademarks
  • Client grants us license to use materials for contracted services
  • Client represents they have rights to all provided materials
  • Client is responsible for obtaining necessary permissions for any third-party content

5.2 Created Materials

  • Website designs, custom graphics, and content strategies become client property upon full payment
  • We retain rights to general methodologies and non-custom elements
  • Third-party tools and platforms remain property of respective owners
  • Transfer fees apply for ownership transfer of digital assets
  • Custom dashboards and reporting tools remain our intellectual property

6. Data Protection and Privacy

6.1 Data Collection and Use

  • We collect necessary business information to provide services
  • Website analytics and performance data is used for service optimization
  • Client data is not shared with third parties except as necessary for service delivery
  • We maintain appropriate security measures to protect client information

6.2 Platform Access

  • Client may grant access to existing accounts (Google My Business, social media, etc.)
  • We recommend using shared access rather than password sharing
  • Client retains ultimate control over all accounts and platforms
  • Access may be revoked at any time with appropriate notice

7. Service Delivery and Timeline

7.1 Implementation Timelines

  • Website delivery: First draft within 14 business days
  • SEO setup: Strategy call within 5 business days, content creation ongoing
  • Advertising campaigns: Setup within 5 business days of onboarding completion
  • Reputation management: Live monitoring within 1 week
  • Timelines may be extended due to client delays in providing required information

7.2 Client Responsibilities

  • Provide accurate business information and required materials
  • Respond to requests for feedback and approvals in timely manner
  • Maintain current business licenses and compliance requirements
  • Notify us of any significant business changes affecting services
  • Review and approve content before publication

8. Liability Limitations

8.1 Limitation of Liability

  • Our total liability is limited to the amount paid by Client in the 12 months preceding the claim
  • We are not liable for indirect, consequential, or punitive damages
  • We are not liable for third-party platform changes, outages, or policy modifications
  • We are not responsible for results affected by factors outside our control
  • Client acknowledges the inherent uncertainties in digital marketing outcomes

8.2 Professional Disclaimers

  • No guarantee of specific results, rankings, or patient acquisition numbers
  • Marketing performance depends on factors beyond our control including competition, seasonality, and market conditions
  • Search engine algorithms and social media policies may change affecting results
  • We do not guarantee protection against negative reviews or online reputation issues

9. Indemnification

Client agrees to indemnify and hold harmless Goodcalls Inc from claims arising from:

  • Client’s use of our services
  • Content provided by Client
  • Client’s violation of healthcare regulations or professional standards
  • Third-party claims related to Client’s practice or content
  • Client’s violation of platform terms of service
  • Any misrepresentation of medical qualifications or services

10. Termination

10.1 Termination Rights

  • Either party may terminate with 30 days written notice
  • We may terminate immediately for non-payment or material breach
  • Client may cancel specific services subject to individual service terms
  • No refunds for services already provided or prepaid periods

10.2 Post-Termination

  • Client retains ownership of custom work upon full payment of transfer fees
  • We may retain materials for legal compliance purposes
  • Outstanding fees remain due regardless of termination
  • Platform access will be transferred or removed as appropriate
  • Ongoing campaigns and subscriptions are client’s responsibility to manage

11. Dispute Resolution

11.1 Governing Law

  • These terms are governed by New York state law
  • Disputes will be resolved in New York courts
  • Both parties consent to jurisdiction in New York

11.2 Dispute Process

  • Good faith negotiation required before formal proceedings
  • Mediation preferred for dispute resolution
  • Attorney fees may be awarded to prevailing party

12. General Provisions

12.1 Modifications

  • Terms may be updated with 30 days notice
  • Continued use of services constitutes acceptance of modifications
  • Material changes will be highlighted in notifications

12.2 Communications

  • Electronic communications are acceptable for all notices
  • Client must maintain current contact information
  • Service updates and reports will be provided electronically

12.3 Force Majeure

  • Neither party liable for delays due to circumstances beyond reasonable control
  • Includes natural disasters, government actions, platform outages, and pandemics
  • Notification required when force majeure events affect service delivery

12.4 Severability

  • Invalid provisions do not affect enforceability of remaining terms
  • Parties will negotiate replacement for unenforceable provisions
